01 · Introduction

Introduction

These Terms and Conditions (Terms) govern your access to and use of the Certitrust website and any services, information, or certification-related framework made available by Certitrust Pte. Ltd. (Certitrust, we, us, or our).

By accessing this website or relying on any information provided, you agree to be bound by these Terms.

02 · Nature of Certification

Nature of Certification

2.1Certitrust operates a certification framework for interior design service providers (Accredited Applicants).

2.2Certification indicates that a contractor has met certain assessment criteria at the point of certification.

2.3Certification does NOT:

(a)guarantee the quality, performance, or completion of any project;

(b)constitute insurance, financial protection, or a warranty;

(c)make Certitrust a party to any contract between a contractor and a customer.

2.4Certitrust shall not be responsible for any acts, omissions, or performance of any Accredited Applicant.

03 · Verification of Contractors

Verification of Contractors

3.1End users may verify whether a contractor is an Accredited Applicant through the information made available on this website.

3.2Certitrust does not track or verify individual projects, transactions, or payments.

3.3End users are responsible for conducting their own due diligence before engaging any contractor.

04 · Claim Eligibility

Conditions for Claim Eligibility

4.1Any potential claim under the Certitrust framework is strictly conditional.

4.2An end user may only be considered for eligibility if ALL of the following conditions are satisfied:

(a)the contractor is a valid Accredited Applicant at the time of the project;

(b)the project was carried out using the prescribed Certitrust contract;

(c)all payments were made:

(i)to the contractor's registered corporate bank account; and

(ii)supported by verifiable documentary evidence, including bank transfer records and invoices;

(d)no cash payments were made;

(e)the end user has obtained a final and conclusive court judgment or legally binding order against the contractor;

(f)all rights of appeal in respect of such judgment or order have been exhausted, waived, or lapsed.

05 · Claim Process

Claim Process

5.1End users may submit a claim to Certitrust together with all supporting documents as required.

5.2Certitrust may request further information, documents, or clarification at its sole discretion.

5.3Certitrust may conduct investigations, including contacting the contractor, reviewing documents, or engaging third parties.

5.4Submission of a claim does not guarantee acceptance, approval, or payment.

5.5Certitrust does NOT guarantee your project. You must obtain a court judgment before any claim may be considered.

06 · Certitrust Discretion

Certitrust Discretion

6.1Certitrust retains full and absolute discretion to:

(a)determine whether any claim satisfies the eligibility criteria;

(b)accept or reject any claim;

(c)request additional evidence;

(d)interpret and apply the applicable Regulations;

(e)determine whether to enforce or call upon any Bank Guarantee.

6.2Certitrust is not obliged to provide reasons for any decision made.

07 · Limitation of Recovery

Limitation of Recovery

7.1Any recovery, if approved, shall be subject to:

(a)the availability and enforceability of the Bank Guarantee;

(b)the amount secured under such Bank Guarantee;

(c)applicable legal requirements.

7.2Certitrust does not guarantee that any recovery will be made.

7.3Any amount recoverable shall not exceed the amount secured under the contractor's Bank Guarantee.

7.4To the fullest extent permitted by law, the Certitrust claim framework set out in these Terms and any applicable Regulations shall constitute the sole and exclusive remedy available to any end user in respect of any loss, damage, or claim arising out of or in connection with:

  • any Accredited Applicant;
  • any certified project; or
  • any reliance on certification status.

7.5The end user agrees that no claim, action, or proceedings shall be brought against Certitrust other than in accordance with the claim process and eligibility conditions set out in these Terms.

7.6Without prejudice to the generality of the foregoing, the end user shall not bring any claim against Certitrust:

  • in contract, tort (including negligence), misrepresentation, or otherwise;
  • outside of the Certitrust claim framework; or
  • in any manner that seeks to circumvent the limitations and conditions set out in these Terms.

7.7Any recovery shall be strictly limited in accordance with Clause 7, including the availability and amount of any applicable Bank Guarantee.

08 · No Liability

No Liability

8.1To the fullest extent permitted by law, Certitrust shall not be liable for:

(a)any loss, damage, or claim arising from any project undertaken by an Accredited Applicant;

(b)any delay, defect, or non-performance of works;

(c)any payment dispute between the end user and the contractor;

(d)any reliance on certification status.

8.2Certitrust shall not be liable for any indirect, incidental, or consequential losses.

8.3To the fullest extent permitted by law:

(a)No director, officer, employee, agent, representative, or affiliate of Certitrust shall have any personal liability to any end user for any loss, damage, claim, or liability arising out of or in connection with:

  • the use of this website;
  • reliance on any information provided;
  • any certification status; or
  • any acts or omissions of any Accredited Applicant.

(b)Any claim or cause of action arising out of or in connection with these Terms or the Certitrust framework may only be brought against Certitrust, and not against its directors, officers, employees, agents, or representatives.

(c)The end user agrees not to commence, pursue, or maintain any claim, action, or proceedings against any individual referred to in Clause 8.3(a).

(d)This Clause shall survive the termination or cessation of use of the website.

8.4The end user agrees to indemnify and hold harmless Certitrust and its directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including legal costs) arising out of or in connection with:

  • the end user's breach of these Terms;
  • misuse of the Certitrust framework; or
  • any dispute between the end user and any contractor

09 · User Obligations

9.1End users are required to:

(a)use the prescribed Certitrust contract;

(b)make all payments only to the contractor's registered corporate bank account;

(c)avoid cash payments;

(d)retain all payment records and documentation.

9.2Failure to comply with the above may result in ineligibility for any claim.

10 · Fraud / Misuse

Fraud / Misuse

10.1Certitrust reserves the right to reject any claim and take appropriate action where:

(a)false, misleading, or incomplete information is provided;

(b)fraudulent documents are submitted;

(c)the certification framework is misused or circumvented.

11 · Website Disclaimer

11.1All information provided on this website is for general informational purposes only.

11.2Certitrust makes no representation or warranty as to the accuracy, completeness, or reliability of any information.

11.3Use of this website is at your own risk.

12 · Amendments

Amendments

12.1Certitrust reserves the right to amend these Terms at any time.

12.2Updated Terms will be published on this website and shall take effect immediately upon publication.

13 · Governing Law

Governing Law and Dispute Resolution

13.1These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

13.2Any dispute arising in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

13.3The parties shall use reasonable efforts to resolve any dispute, controversy, or claim arising out of or in connection with these Terms (a “Dispute”) through good faith negotiations for a period of at least thirty (30) days following written notice of such Dispute by one party to the other.

13.4If the Dispute is not resolved through negotiations, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre in accordance with the SIAC Rules for the time being in force, which rules are deemed to be incorporated by reference in this clause.

(a)The seat of arbitration shall be Singapore.

(b)The tribunal shall consist of one (1) arbitrator.

(c)The language of the arbitration shall be English.

(d)The award of the tribunal shall be final and binding on the parties.

13.5Notwithstanding Clause 13.3, either party may apply to the courts of Singapore for:

(a)interim or injunctive relief; or

(b)the enforcement of any arbitral award.

13.6Any Dispute shall be resolved on an individual basis, and not as a class, collective, or representative action.
